General Terms and Conditions

SalonClick: subscription service for salons

DRAFT for legal review. Version 0.10.1, 2026-10-28. English translation of Általános Szerződési Feltételek, retranslated in full on 2026-10-27 against Hungarian working version 0.10 with the same clause numbering (sub-version 0.10.1 of 2026-10-28 carries the clause 4.3 clarification: computation of the 90 days, rejected paid order, Plan usable from the pro-forma request); if the two texts differ, the Hungarian text prevails. Not final, not legal advice, not to be published or put to customers before legal review. [FOR THE LAWYER: ...] is the English form of the Hungarian [JOGÁSZNAK: ...] marker: an open question or missing data. The full list of open questions, the assumptions and the statement-to-code table are in the README.

Entry into force: [EFFECTIVE DATE]. Text prepared for completion by the Operator and for review by a lawyer. Square brackets mark missing data or a decision that needs separate approval. This working version is not the Terms in force for the service.

The product name and the domain are not decided yet, so the text uses the [PRODUCT NAME] and [DOMAIN] placeholders.

1. The provider and the scope of the contract

1.1. The operator of SalonClick, a salon-management and appointment-booking service available over the internet (the Service), is:

1.2. The Subscriber is the business, sole trader or natural person that uses the Service under these terms. A business is anyone who uses the Service in the course of its trade, independent profession or business activity; it declares this with a separate indication during registration and in that case provides its legal form, name and tax number. A consumer is a natural person who uses the Service for purposes outside their independent profession and economic activity; the special rules of clause 15 also apply to a consumer and take precedence over the differing provisions of these terms. Anyone who does not make the business indication is treated by the Operator as a consumer. The consequences of an untrue business declaration are borne by the person making it. [FOR THE LAWYER: the owner's decision (2026-10-21): consumers may also use the Service; the business indication in registration is optional, and the system asks for company data (legal form, name, tax number) only when it is ticked — built.]

1.3. A User is a natural person authorised by the Subscriber to access the Service. A Guest is a person whose booking or other data the salon manages. The Booking page is the public appointment-booking interface provided to the Subscriber. A Calendar is the booking calendar assigned to one provider; a Place is a service location of the Subscriber.

1.4. The Operator provides the use of the software. The treatments and other services offered by the salon are provided to the Guest by the Subscriber. The content, price, professional conditions, cancellation and any deposit of those services are governed by the Subscriber's own contractual terms. The Operator does not become a party to those contracts merely by providing the booking interface.

1.5. The contract consists of the confirmed order, these Terms with their annexes and the Data Processing Agreement. In case of conflict, the Data Processing Agreement prevails in matters of data processing; in other matters an individually negotiated written agreement prevails, followed by the order and these Terms. The privacy notice and the cookie information are not a general consent to data processing.

2. Registration, conclusion of the contract, declarations

2.1. The Subscriber's representative provides the true data requested during registration, checks and where necessary corrects them, reads the downloadable documents, and accepts these Terms and the Data Processing Agreement. They declare that they are authorised to represent the Subscriber.

2.1a. Highlighted terms. During registration, separately from the acceptance of these Terms, the Operator gives separate information about the terms that differ materially from the law or from usual contractual practice; these become part of the contract only with the Subscriber's separate, express acceptance (section 6:78(2) of the Hungarian Civil Code). Towards a consumer Subscriber these terms apply only with the content permitted by clause 15. They are: the right of restriction and suspension (clause 6), the pausing of campaign sending (clause 8.6), the exclusion of set-off (clause 5.3), the limitation and exclusion of liability for damages (clauses 9.4 and 9.7), the Subscriber's indemnity (clause 8.7), the right of unilateral amendment and fee increase (clauses 4.7 and 10.1–10.2) and the jurisdiction clause (clause 10.4). These clauses carry the [Highlighted term] marker in the text. [FOR THE LAWYER: the separate information box and the separate checkbox at registration and at re-acceptance after a version change are built; the acceptance is recorded as a separate LegalAcceptance row (aszf-highlighted).]

2.1b. The tick confirming that the notice has been read does not replace a separate consent to marketing or to the processing of special categories of data. [FOR THE LAWYER: current technical state: the registration form asks for acceptance with a mandatory checkbox and records, per document, the accepted version, the time and the accepting staff member; a later version change is re-accepted by the salon owner in the admin interface, for a business together with the separate checkbox of the highlighted terms.]

2.2. To confirm the registration electronically the Operator sends a link to the e-mail address provided. The contract is concluded by the creation of the account after the e-mail address is confirmed and by the Operator's confirmation stating that the contract has been concluded. A mere technical acknowledgement of receipt is not the same as acceptance of the order. The Operator may refuse a registration or a paid order without giving reasons; no contract is concluded until the confirmation, and any fee already paid is refunded in that case. The confirmation records the Subscriber, the Plan, the fee, the period and the document versions applied.

2.3. The language of the contract is Hungarian. The contract is concluded electronically; whether the electronic declarations qualify as written is to be judged on the basis of the procedure used and the applicable law. The Operator retains the accepted version and the evidence of acceptance and provides the Subscriber with a copy. Data entered before registration and before a paid order can be corrected in the interface; afterwards a correction can also be requested from customer service.

2.4. A paid subscription starts only after the fee and the recurring period have been presented in advance and on the basis of a separate paid order. The trial period alone does not entitle the Operator to charge a fee. The paid contract is concluded for an indefinite term, with monthly or yearly billing at the Subscriber's choice (clauses 4.8 and 5.1), unless an individually recorded deviation applies.

3. The Service and access

3.1. The features available under the Plan include in particular: guest records, calendar and booking management, the online Booking page, staff permissions, notifications and the further modules listed in the order. A planned or demonstrated feature is part of the commitment only if the plan description or an individual agreement designates it as an available service. A feature available with a "beta" or "experimental" label is not part of the commitment; the Operator may change or discontinue it at any time.

3.2. The Subscriber must assign access to named persons, limit it to the necessary permissions, revoke the access of departing staff and apply the available security settings. It protects its credentials and reports any suspected misuse without delay. This does not release the Operator from its own security obligations.

3.3. An Operator employee may use support access only for a justified support, security or troubleshooting purpose, with task-bound permissions and a time limit. The reason and the time frame of the access are recorded, and the access is indicated in the salon's interface. The detailed restrictions and logging are in the Data Processing Agreement. Except for urgent hazard prevention, the basis of the access is the Subscriber's support request or its prior documented permission. [FOR THE LAWYER: current technical state: the time limit of the access is 30 minutes by default and at most 120 minutes, the reason is mandatory, and a non-dismissible indicator is shown in the salon's interface. The start of the access is logged; its end is logged when it ends by exit, sign-out or termination by the Subscriber; access that ends when its time limit expires has no separate closing log row. The log can be retrieved through the programming interface (API); there is no screen for it in the Subscriber's interface today. The log marking of individual operations performed in support access is partial (README H17).]

3.4. External payment, invoicing, calendar, messaging and measurement integrations may require a separate provider account or contract. The Subscriber checks the purpose and the permissions of each integration it switches on. The data protection roles of the integrations are determined by the actual data flows; the mere fact of a separate provider account does not decide this.

3.5. The Service is a web application used in a browser; no installation is needed. Use requires a continuous internet connection, an up-to-date browser still supported by its vendor and, for signing in, the strictly necessary cookies being allowed (Cookie Policy). The proper condition of the Subscriber's own devices, network and browser is the Subscriber's responsibility. The supported browsers are the two latest major versions of Chrome, Firefox, Safari and Edge. The terms of the staff mobile application will be added here when the application is released.

4. Plans, trial period and change of Plan

4.1. The Plans, their fees, limits and features, and the fees of separately orderable items (extra Calendar, extra Place, SMS) are set out in the price list in force (salonclick.app/arak); Annex 1 is an extract of the price list valid on the date of this working version. The fees are net amounts, which the Operator invoices with the value added tax in force at the time. Before the order is finalised the Operator shows the chosen Plan, the billing period, the separately ordered services, the net fee, the VAT and the total amount payable; the fee valid at the time of the order is recorded in the confirmation (clause 2.2).

4.2. A new Subscriber receives a 60-day trial period from the creation of the account, usable without bank card details. During the trial all features of the Service can be used without the Plan limits, and no subscription needs to be ordered. The Operator notifies the Subscriber by e-mail 14 days and 3 days before the trial ends and on its last day. External services and SMS subject to a separate fee are free of charge only under an express offer.

4.3. After the 60-day trial, paid use requires the Subscriber to order a separate subscription. The trial does not turn into a paid subscription automatically, and its expiry creates no automatic charge. When the trial expires, the account enters a state awaiting decision: only the account owner can use the interface, and chooses between ordering a paid Plan (against a pro-forma request for payment; with yearly billing on request and subject to the Operator's approval) and the free Plan; when choosing the free Plan, the owner designates which Calendar accepts new bookings. Until the decision the other Users cannot sign in, the Booking page keeps working within the limits of the free Plan (Annex 1), and existing bookings and recorded data are kept. If the owner does not decide, the Operator sends e-mail reminders on the 7th and the 14th day after expiry and may extend the trial by individual decision; if the owner still has not decided within 90 days of expiry, the account is moved to the free Plan and the first Calendar accepts new bookings. The day of expiry does not count towards the 90 days; the switch takes place at 0:00 Central European Time on the day following the 90th day, even if the 90th day is a public holiday. The switch is not a loss of rights: the owner may order a paid Plan from the free Plan at any later time. Ordering a paid Plan counts as a decision: the Plan becomes usable when the pro-forma request for payment is issued, the pro-forma request is the confirmation under clause 2.2 recording the Plan, the fee and the period, and payment of the fee and the consequences of non-payment are governed by clauses 5.7 and 6.1. If the Operator rejects the paid order under clause 2.2, the state awaiting decision continues and the 90 days keep running from the original expiry; if fewer than 7 days remain, the owner gets 7 days from the rejection. [FOR THE LAWYER: the computation follows the general rule of section 8:3 of the Civil Code, without the public-holiday extension, because the switch is not a loss of rights; the code implements this (README K30).] The expiry of the trial alone does not delete the data already recorded; termination and data export are governed by clause 7.

4.4. If the final Plan contains a monthly booking limit, its amount is in Annex 1. Every booking counts towards the limit, online and manually recorded alike, in the calendar month in which the booking's time falls (in the salon's time zone). A cancelled booking frees its place in the allowance; the booking of a Guest who did not show up counts. The limit only blocks the recording of new bookings; existing bookings are not affected. The exact calculation must be available before the order.

4.5. On a change of Plan the Subscriber sees the effective date and the settlement before approving it. A switch to a higher Plan takes effect immediately, with a pro-rata fee difference for the rest of the period (with a yearly subscription, the rest of the yearly period); a switch to a lower Plan takes effect from the next billing period. The price list valid at the time of the change applies to the fee of the new Plan (clause 4.7). No double charge may be applied; recorded data may not be deleted merely because of the change.

4.6. SMS sending is available in the paid Plans; on the free Plan no SMS can be sent. SMS beyond the monthly free SMS allowance included in the Plan (Annex 1) require a separate, prepaid credit. Before each top-up the unit price, the billing unit, the handling of failed sends, the expiry of the credit and the settlement on termination must be stated. The price of an SMS is HUF 30 + VAT each. The topped-up credit can be used for 12 months from the top-up; expired credit, and credit unused at the termination of the contract, cannot be exchanged for money and is not refunded. A consumer Subscriber cannot buy SMS credit (clause 15.15). The monthly free SMS allowance of the Pro plan may be used only for booking reminders and booking-related notifications (confirmation, receipt of a booking request, change, cancellation), not for campaign, customer-care or other messages; the allowance is used before the prepaid SMS, restarts each calendar month, its unused part does not carry over to the next month and cannot be exchanged for money. When the allowance is used up, SMS sending stops; this does not by itself cancel any booking.

4.7. Where an individual offer is recorded in writing, its fee, content and duration apply. The discount of an existing customer may be changed only under the agreement applicable to it; the group of beneficiaries and the agreement are to be identified in the Subscriber's confirmation. [Highlighted term] Price guarantee: for 12 months from the order, a change of the price list does not change the fee of a subscription already concluded; during this time the Subscriber pays the fee of the Plan and of extra Calendars and Places at the prices valid at the time of the order, also if it changes the number of Calendars or Places. After the price guarantee expires, the Operator may increase the fee (a) at most once a year by the consumer price index for the previous calendar year published by the Hungarian Central Statistical Office (KSH), without further justification (indexation), and (b) in addition for a reason under clause 10.1; in both cases with at least 30 days' prior notice under clause 10.2 and with the Subscriber's right to terminate free of charge. On a change of Plan the price list valid at the time of the change applies to the new Plan. As the fees are net fees, a statutory change of the VAT rate does not affect the net fee. [FOR THE LAWYER: the owner's decision (2026-10-27): 12-month price guarantee, then indexation and individual increase; for consumers clause 15.8. README J47, J60.]

4.8. Yearly subscription. A paid Plan can also be ordered with yearly billing; the yearly fee equals ten monthly fees instead of twelve, for every recurring item (Plan fee, extra Calendar, extra Place, individual fee) (Annex 1). The yearly fee is due at the start of the period, in one sum. If the Subscriber increases the number of Calendars or Places during the yearly period, the Operator charges a pro-rata fee for the extra items for the remaining days of the paid yearly period and issues a pro-forma request for payment for it immediately; on a decrease no refund is due for the paid period, and the lower fee applies from the next billing period (details of extension: clause 4.9). A switch between monthly and yearly billing is made at the Subscriber's request, with the Operator's approval, from the next billing period; when switching from yearly to monthly this is the end of the yearly period, without a refund of the yearly fee paid. Ordinary cancellation of a yearly subscription takes effect at the end of the yearly period; cancellation during the period does not by itself entitle the Subscriber to a refund of the fee paid in advance, except for termination because of an unfavourable amendment under clause 10.2 and for a breach of contract by the Operator, in which cases the unserved months are settled pro rata. [FOR THE LAWYER: exclusion of a refund of the yearly fee during the period, between businesses.]

4.9. Extra Calendars and Places. Every Plan includes 1 Calendar and 1 Place. In the paid Plans extra Calendars, and in the Pro plan extra Places, can be ordered for the fee and up to the limit in the price list; the free Plan cannot be extended, and the Starter plan is limited to one Place. With a yearly subscription the pro-rata fee of an extension is the part of the item's yearly fee that falls on the remaining days of the paid yearly period, and the pro-forma request for payment (clause 5.7) is issued at the time of the extension; a decrease is governed by clause 4.8. [DECISION: whether the extension becomes usable when the pro-forma is issued or only when it is paid.] [FOR THE LAWYER: mid-year extension of a yearly subscription is still under development in the product; this clause may be published only together with the release of the code (README H21, J49).]

5. Invoicing and payment

5.1. The fee of a paid Plan is a monthly (with a yearly subscription, yearly) fee payable in advance. The start, end and amount of the first billing period are stated in the order. With monthly billing the subscription period is one month from the start date of the paid subscription, and the next period starts on the monthly anniversary of the start date, so no partial month arises. With yearly billing the subscription period is one year from the start date (clause 4.8). The Operator issues an electronic invoice to the billing e-mail address through the Számlázz.hu system, using the service of KBOSS.hu Kft.; the Subscriber accepts this invoicing method.

5.2. Payment of the subscription fee by bank card is provided by Barion Payment Zrt. (clause 5.5); the fee can also be paid by bank transfer using the details on the pro-forma request for payment. Before approval the Subscriber sees the net fee, the VAT, the total amount payable, the currency, the period concerned, the due date and the conditions of any recurring charge. A recurring charge requires a verifiable authorisation given during the paid order; the expiry of the 60-day trial alone creates no charge. [TO BE FINALISED: THE DUE DATES OF THE FIRST AND LATER PAYMENTS, THE RECURRING CHARGE AND THE RETRY PROCEDURE FOR FAILED PAYMENTS.] The Subscriber reports any change in its billing data without delay.

5.3. [Highlighted term] In case of late payment the Operator may claim the statutory default interest applicable between businesses and, where its conditions are met, the flat-rate recovery cost. It examines invoice disputes on their merits; the Subscriber pays the undisputed amount. The Subscriber may not set off any claim against the fee, except a claim established by a final judgment or acknowledged by the Operator in writing.

5.4. On ordinary cancellation the cancellation takes effect at the end of the period already paid (clause 7.1): until then the subscription can be used under the Plan, the cancellation can be withdrawn in the interface until it takes effect, and the Operator issues no pro-forma request for payment for the period after it takes effect. No refund is due for the paid period merely because of the cancellation; the cancellation does not affect fees already due and unpaid. Overpayments, erroneous charges and fees refundable under the law or because of a breach of contract are settled and refunded by the Operator.

5.5. Bank card payment is handled by Barion Payment Zrt. (registered office: 1117 Budapest, Irinyi József utca 4–20. 2. emelet, Hungary; company registration number: 01-10-048552; an electronic money institution supervised by the Hungarian National Bank, licence number: [MNB LICENCE NUMBER]). Bank card data is handled exclusively by Barion and does not reach the Operator. The provider of the software subscription and the issuer of the invoice is Brandlab Marketing Ügynökség Kft. The data processing related to payment is described in the platform's Privacy Notice and in Barion's privacy notice: https://www.barion.com/en/privacy/ [FOR THE LAWYER: the Barion integration for the platform fee is not built yet (the code is currently prepared for Stripe, in demo mode); the app thread is building it. The licence number and the address of the notice are to be checked before publication.]

5.6. The Operator notifies the Subscriber of a failed payment and of the ways to settle it. Restriction because of arrears is subject to the notice and grace rules of clause 6. Barion's payment confirmation does not replace the invoice issued by the Operator in the Számlázz.hu system. Invoicing questions and refund requests can be sent to webshop@brandlab.hu.

5.7. For each period due the Operator first issues a pro-forma request for payment, which is a request for payment and not an invoice. The final invoice is issued after the fee is received, with reference to the pro-forma. The pro-forma and the invoice are numbered in separate series. No invoice arises from an unpaid pro-forma. [FOR THE LAWYER: whether this order of issuing the pro-forma and the invoice is consistent with the time of supply under the VAT Act and the rules on invoicing fees paid in advance. Current technical state (contract v1.280): the pro-forma has its own series, the final invoice is issued after payment by Számlázz.hu in the Operator's name and its PDF can be downloaded from the salon's interface; the live Agent key and a live test invoice must be verified before publication (README H8).]

6. Restriction, suspension and reinstatement

6.1. [Highlighted term] In case of arrears the Operator sends a notice stating the amount, the due date, the grace period and the consequences of restriction. 30 days after the due date the account enters the past-due state; after a further 14 days without payment the Operator may suspend it. Suspension requires a prior warning whose delivery has been attempted.

6.2. During a suspension for non-payment, access is limited to viewing and export; no new booking or modification can be made, and public booking is paused. Marketing processes stop. The necessary transactional notifications of existing bookings may continue according to the Subscriber's settings and available credit. The restriction does not automatically delete existing bookings.

6.3. After proof that the arrears have been settled, the Operator lifts the restriction without delay, typically within 1 business day, unless a separate, communicated security reason exists. Human review of an invoicing error or of a restriction can be requested from customer service.

6.4. In case of an immediate security threat, obvious unlawfulness or serious abuse, the Operator may restrict the affected access immediately, to the extent necessary. It communicates the reason and the manner of review as soon as this does not endanger the defence and is not prohibited by law. After the threat has ended it lifts the restriction without undue delay.

7. Termination, return and deletion of data

7.1. The Subscriber may cancel the subscription at any time at the customer service e-mail address webshop@brandlab.hu or in the interface (Settings, Subscription); a cancellation in the interface is confirmed by the account owner with their password. Ordinary termination of a paid subscription takes effect at the end of the period already paid (with a yearly subscription, at the end of the yearly period). Until then the Service can be used unchanged under the Plan, and the Subscriber may withdraw the cancellation in the interface until it takes effect, in which case the subscription continues unchanged. If no paid period is running (in particular on the free Plan, during the trial, or when the account is suspended for arrears), the cancellation takes effect immediately upon confirmation. The Operator confirms the cancellation and states the date on which it takes effect; when it takes effect, a separate notice states the deadline for data retrieval. From that date the account can only be viewed and exported for 90 days (clause 7.3) and can be reinstated within that time under clause 7.7. Closing the whole account and switching to a lower Plan are separate instructions; no change of Plan can be initiated until the cancellation takes effect, for which the cancellation must first be withdrawn.

7.2. The Operator may terminate the contract by ordinary termination with 30 days' notice; with the same notice it may discontinue the free Plan or the Service as a whole, with data return under clauses 7.3–7.4. In case of a serious breach it grants an appropriate grace period stated in the notice, except where the breach cannot be remedied or requires immediate intervention. On termination it settles the prepaid period not served.

7.3. After termination a data retrieval period of at most 90 days is available, during which no new booking can be made. The Subscriber may request the return of its data in a machine-readable form, including guests, bookings and the related treatment documents, attachments and evidence of consent. The Operator states the formats and the channel of the return before the export.

7.4. The 90 days are an upper limit provided for the Subscriber's benefit, not a mandatory retention period. The Subscriber may order earlier return and deletion under the Data Processing Agreement. At the end of the period the personal data processed must be deleted, except for separate retention required by law. Statistical remnants may be kept only in a form that genuinely cannot be re-identified by reasonable means.

7.5. The different retention of the Operator's own data needed for its own invoicing, proof of contract and legal claims is set out in its own Privacy Notice. This does not entitle it to retain the whole guest database. The deletion cycle of backups and the deletions to be repeated after a restore are governed by the Data Processing Agreement.

7.6. Switching to another provider or to the Subscriber's own IT system is governed by the separate rules of Annex 2. In that case the active service needed for the switch cannot be terminated merely because the ordinary billing period has expired; the switching period and the subsequent data retrieval period are counted separately. The mandatory EU switching rights are also to be respected when a free Plan is provided.

7.7. Within the 90-day period a cancellation initiated by the Subscriber can be withdrawn in the interface: the account returns to the state it was in before the cancellation. The withdrawal gives no more rights than existed before the cancellation; an account restricted or suspended for arrears remains restricted after the withdrawal until the arrears are settled. The Subscriber cannot itself withdraw the cancellation of an account terminated by the Operator; in that case it may contact customer service. After the 90 days reinstatement is not possible.

8. Data protection and lawful use

8.1. For guest management and the salon-side records of the salon's staff the Subscriber is the controller and the Operator is the processor. The platform's own customer-relationship, invoicing and own-purpose security processing is carried out by the Operator as controller. Certain data of the same person may be processed in different roles for different purposes.

8.2. The Subscriber ensures the legal basis, the information of guests and staff, the provability of the necessary consents, the purpose-bound retention periods and the handling of data subject requests. The software's default settings do not replace these decisions. The Operator supports their fulfilment with the tools and the cooperation set out in the agreement.

8.3. Data indicating health status may be recorded only for a justified purpose, where the conditions of Articles 6 and 9 GDPR are met together, with appropriate access restriction. Special categories of data must not be hidden in general notes to circumvent the safeguards. The Service does not automatically qualify as a medical documentation system or a medical device.

8.4. Unlawful content, unsolicited advertising, circumvention of permissions, access to another salon's data, deliberate overloading of the service and abusive circumvention of fee limits are prohibited. The Subscriber may upload only images, texts and other material that it is entitled to use.

8.5. The rights to the Subscriber's data and content do not pass to the Operator. The Operator is entitled only to the processing, storage and display under the Subscriber's instructions that are necessary to perform the service. This contract gives no authorisation to use or sell guest data for the Operator's own advertising purposes.

8.6. [Highlighted term] With the messaging tools of the Service (e-mail, SMS, campaigns, newsletter sync) the Subscriber may send advertising only to Guests who have given demonstrable consent to it, and honours unsubscribes without delay. Advertising must not be hidden in booking-related transactional messages (confirmation, reminder, cancellation). Purchased address lists or lists taken over from other sources must not be loaded for campaigns. If messages sent through the Service give rise to complaints, delivery blocks or a risk of restriction by the e-mail or SMS provider, the Operator may pause campaign sending until the cause is investigated; booking notifications are not affected. The Operator states the reason and the condition for lifting the pause. [FOR THE LAWYER: the right and procedure for pausing campaign sending; the product has no automatic complaint-based stop today, pausing is an Operator decision.]

8.7. [Highlighted term] If a third party or an authority raises a claim against the Operator because of the Subscriber's unlawful data processing, content or messaging, or because of the Subscriber's breach of contract towards a Guest, the Subscriber indemnifies the Operator against the claim, the fine and the reasonable costs, and cooperates in the defence. Towards a consumer Subscriber the general rules on damages of the Hungarian Civil Code apply instead.

8.8. The Operator may use the name and logo of a business Subscriber as a reference; the Subscriber may prohibit this at any time without giving reasons, and the Operator gives effect to the prohibition without delay.

9. Operation, support and liability

9.1. The Operator runs the service with the care that can be expected under the contract and the risks. A specific availability percentage or recovery time can be set only in a separate SLA. It informs in advance, where possible, of planned maintenance causing a material outage; an urgent security update may be carried out without prior notice.

9.2. The customer service e-mail address is webshop@brandlab.hu. Regardless of the Plan, the Operator typically gives a first reply addressing the content of an enquiry within 1 business day of receipt; an enquiry received after 6 p.m. on a business day, or on a weekend or public holiday, is deemed received on the next business day. An automatic acknowledgement of receipt alone does not meet this. Exceeding the reply time is not in itself a breach of contract and gives no basis for a claim for damages; resolving the matter or fixing the fault may take further time depending on its complexity, about which customer service informs. Personal data breaches are governed by the separate rules of the Data Processing Agreement.

9.3. The business-continuity backup is not a substitute for the Subscriber's statutory archive. The Operator backs up the database at least daily on Contabo's EU infrastructure and keeps the backup copies for at least 14 days. [OPERATOR: the actual backup frequency, the location and encryption of the copy independent of the hosting (off-site) and the country of the data centre must be verified in the live environment; only the verified state may be put in the text (DPA Annex 2 G).] A restore returns the data to the state of the last successful backup; for the loss of data changes between the last backup and the outage the Operator is liable within the limits of clause 9.4. The conditions of protection and restore are set out in the Data Processing Agreement. The Subscriber must export in time the data it needs for its own obligations; this does not release the Operator from the data protection or backup tasks it has undertaken.

9.4. [Highlighted term] The Operator is liable for breach of contract under the Hungarian Civil Code. Liability relating to data loss and to contributors is to be determined on the basis of the specific circumstances and the applicable law. The Operator's liability for damages in connection with the contract, on all legal grounds together, is limited to the amount of the one monthly subscription fee actually paid by the Subscriber for the month of the event causing the damage (or, if that month has not been paid for yet, for the month before it); with yearly billing, the one monthly fee is one twelfth of the yearly fee. On the free Plan, where the Subscriber pays no fee, this amount is HUF 0. The Operator is not liable for indirect damage or loss of profit. The limitation does not apply to the cases under clause 9.6. [FOR THE LAWYER: the owner's final decision (2026-10-21): the cap on damages is one month's subscription fee actually paid, "nothing more"; HUF 0 on the free Plan. The LEGAL thread flagged the risk: a court may find a very low cap, and a HUF 0 cap on the free Plan, unfair (section 6:102 of the Civil Code), so the term is stipulated with separate information and separate acceptance under section 6:78(2) of the Civil Code (clause 2.1a). Please confirm its validity under sections 6:152 and 6:102 of the Civil Code.]

9.5. The Subscriber is liable for faults in the salon's professional services and for its own content. This does not exclude the Operator's liability for its own fault, its own unlawful data processing or the contributors it engages. The delivery of e-mail and SMS may be affected by external circumstances; liability for a delivery failure is to be judged on the basis of its causes.

9.6. Liability cannot be limited or excluded where mandatory law prohibits this (section 6:152 of the Civil Code), in particular for a breach of contract caused intentionally or harming human life, bodily integrity or health. The claims of data subjects under the GDPR cannot be taken away by an agreement between the parties.

9.7. [Highlighted term] The Operator is not liable for damage caused by a reason outside its sphere of control, in particular: a fault of the internet access, device or browser of the Subscriber or the Guest; an outage or faulty operation of an external service connected by the Subscriber (clause 3.4); a leak of the Subscriber's credentials that occurred within the Subscriber's sphere; the inaccuracy or unlawfulness of data recorded or content published by the Subscriber; incorrect contact details given by the Guest; a fault in a notification rule or template set up by the Subscriber; data export omitted by the Subscriber; a claim arising from the legal relationship between the salon and the Guest. The exclusion does not apply to the cases under clause 9.6 and does not release the Operator from liability for its own subcontractors. [FOR THE LAWYER: the cap on damages and the exclusion of indirect damage and loss of profit are in clause 9.4.]

9.8. The Operator schedules planned maintenance for low-traffic periods where possible and, if it causes a material outage of the Service, announces it in advance by e-mail or in the interface. Planned maintenance typically takes place between 10 p.m. and 6 a.m.; the Operator announces a material outage at least 24 hours in advance. A numeric availability commitment exists only in a separate SLA under clause 9.1.

9.9. The Subscriber's Users can send the Operator a bug report from the interface, to which a screenshot can be attached. The bug report records the address of the page concerned without its query parameters. The User should take the screenshot so that only the personal data needed to understand the fault is visible. The Operator uses any guest data in a bug report only to investigate the fault, as a processor.

10. Amendment, notices and disputes

10.1. [Highlighted term] The Operator may initiate an amendment because of a change in the law, a verifiable change in operating costs, a security requirement or a justified technical redesign of the service. The change must be proportionate to its reason and may not set a retroactive fee for a period already performed. Fee increases are governed by clause 4.7 (price guarantee, indexation) and clause 10.2. The Operator may withdraw individual features with 30 days' prior notice if the essential content of the Plan is retained; the withdrawal of a feature not listed in the plan description does not give rise to the right of termination under clause 10.2. A new paid service or a materially new obligation requires separate express acceptance.

10.2. [Highlighted term] The Operator communicates an amendment that affects the Subscriber's position unfavourably by e-mail at least 30 days in advance, stating the old and the new terms and the reason. The Subscriber may terminate free of charge until the amendment takes effect; the prepaid fee for the period not yet performed is settled. For an urgent statutory or security change, the notice and the manner of exit are provided in a way suited to the reason.

10.3. Notices are sent to the registered contact address. The Subscriber reports any change of address. The fact and the time of delivery are to be recorded in a provable manner; a sent e-mail that bounced does not in itself count as proven knowledge.

10.4. The contract is governed by Hungarian law. The parties first attempt to settle their dispute by direct consultation; this does not prevent immediate legal protection, a step suitable for interrupting limitation, or official proceedings. [Highlighted term] For disputes arising from the contract the parties stipulate, depending on competence, the exclusive jurisdiction of the Pécs District Court (Pécsi Járásbíróság) or the Pécs Regional Court (Pécsi Törvényszék).

11. Force majeure

11.1. Neither party is liable for failure to perform the contract if it is caused by a circumstance outside the parties' control that could not be foreseen or averted (for example natural disaster, war, official measures due to an epidemic, a general outage of the data centre or the backbone network, a large-scale power cut). Force majeure affects the payment obligation only if it makes payment itself impossible.

11.2. The affected party communicates the force majeure and its expected duration as soon as possible and takes the reasonably expected steps to reduce its consequences. If the force majeure lasts longer than 30 days, either party may terminate free of charge; the prepaid period not served is settled. Force majeure does not release from the obligations on data security and personal data breaches.

12. Intellectual property

12.1. The software, interface, documentation and brand elements of the Service are the intellectual property of the Operator or its licensors. For the term of the contract the Subscriber receives a non-exclusive, non-transferable right of use that cannot be sublicensed, solely for its own business purposes.

12.2. Reverse engineering or copying the software, mass automated querying of the Service and using elements of the interface in another product are prohibited, except where the law expressly allows it. The Operator may use development suggestions made by the Subscriber without consideration; this does not apply to the Subscriber's data and content (clause 8.5).

13. Confidentiality

13.1. The parties keep confidential the information they learn while performing the contract that is a business secret of the other party or marked as confidential, and use it only to perform the contract. The obligation continues for 3 years after the contract ends; confidentiality regarding personal data lasts longer, for as long as the data is processed.

13.2. Confidentiality is not breached by disclosure required by law or an official decision, by information already public before the disclosure, or by informing the Operator's subcontractors and advisers to the extent their task requires, if they are bound by the same confidentiality.

14. Miscellaneous

14.1. If a provision of the contract is invalid or unenforceable, the other provisions remain in force; the parties replace the invalid provision with the valid provision closest to its purpose.

14.2. The Subscriber may transfer its rights and obligations under the contract with the Operator's prior written consent. The Operator may transfer the contract to its legal successor or to the business taking over the Service with prior notice to the Subscriber, if the transferee assumes the obligations under the contract and the Data Processing Agreement unchanged. [FOR THE LAWYER: the conditions of transfer of contract under the Civil Code; the Subscriber's right of termination on transfer.]

14.3. To enforce overdue fees the Operator may use a debt collection agency; in that case it passes on only the data needed to enforce the claim. [FOR THE LAWYER: the name of the agency and the data passed to it in the Operator's Privacy Notice.]

14.4. If a party does not exercise a right, this does not mean waiving it.

15. Special provisions for consumer Subscribers

15.1. Application. This clause applies to a Subscriber who qualifies as a consumer (clause 1.2). Where another clause of these terms differs, this clause prevails towards the consumer. These terms do not limit the statutory rights of the consumer.

15.2. Display of fees and invoice. For a consumer the Operator shows the fees as gross amounts including value added tax before and during the order. The Operator issues the invoice in the consumer's name to the address given, without a tax number.

15.3. Right of withdrawal and termination. Under the rules on distance contracts (Government Decree 45/2014 (II. 26.)) the consumer has the right to withdraw without giving reasons and, after performance has begun, to terminate. The period is 14 days from the day the contract is concluded (section 20(2)(b)). Use of the free trial and of the free Plan creates no payment obligation; by ordering a paid Plan a contract for the paid service is concluded, and the withdrawal period runs from the day of that order.

15.4. Beginning of performance within the withdrawal period. The paid service starts within the withdrawal period only at the consumer's express prior request. When ordering, the consumer may request with a separate tick that performance begin immediately, and at the same time acknowledges that if they terminate within the period, they must pay a fee proportionate to the service provided until the termination is communicated (section 26(1)). A consumer can order a paid Plan only with this request and acknowledgement; the tick containing the request is not pre-ticked. If the consumer does not make the request, no paid order is concluded, and the account can continue to be used within the limits of the free Plan. The request does not exclude the right of withdrawal or termination under clause 15.3. [FOR THE LAWYER: the paid order is tied to the request for immediate start (the owner's decision, 2026-10-21, for technical reasons); does this comply with section 29(1)(a) of Government Decree 45/2014 and with the fairness requirements for consumer contracts (README J59).]

15.5. Exercising the withdrawal. The declaration of withdrawal or termination can be made by e-mail to webshop@brandlab.hu, by post (7632 Pécs, Kodolányi János utca 21. Fsz. 1. ajtó, Hungary) or in the interface (Settings, Subscription); the model declaration in Annex 3 may also be used for this, but its use is not mandatory. The period is deemed met if the consumer sends the declaration before it expires. The Operator confirms receipt of the declaration without delay on a durable medium (by e-mail).

15.6. Refund. In case of withdrawal or termination the Operator refunds the fee paid by the consumer, reduced on termination by the proportionate fee under clause 15.4, within 14 days of receiving the declaration, using the same payment method as the consumer used, unless the consumer expressly agrees to another method; no additional cost may be charged to the consumer for this.

15.7. Liability. The cap under clause 9.4 and the exclusion of indirect damage and loss of profit do not apply towards the consumer; towards the consumer the Operator is liable under the Hungarian Civil Code and the rules on digital services (Government Decree 373/2021 (VI. 30.)), including conformity of the performance and the provision of necessary updates, and does not exclude its liability for its contributors. The reasons under clause 9.7 that fall within the sphere of the Subscriber or the Guest (own device, internet connection and browser, connected external service, own content and credentials, incorrect contact details, the legal relationship with the Guest) also apply towards the consumer, because they record the absence of a causal link, not a limitation of liability. [FOR THE LAWYER: section 6:104(1)(h) and (2)(h) of the Civil Code.]

15.8. Amendment. Towards the consumer, clauses 10.1–10.2 on amending the Service and the terms apply with the conditions of section 27 of Government Decree 373/2021 (VI. 30.): the amendment must be based on a reason stated in these terms, no additional cost may be charged to the consumer, and if the amendment affects access or use unfavourably to a more than minor extent, the consumer may terminate the contract free of charge within 30 days of receiving the information or of the amendment. A fee increase can be enforced towards the consumer only with the prior notice and the free right of termination under clause 10.2.

15.9. Suspension. Restriction because of arrears (clause 6) may also be applied towards the consumer, with the prior notice and grace period provided there.

15.10. Complaint handling. The consumer may lodge a complaint at webshop@brandlab.hu, by post or by telephone (+36 30 514 0867). The Operator examines an oral complaint immediately; if immediate examination is not possible or the consumer does not agree with the handling, it takes minutes. It answers a written complaint on the merits, in writing, within 30 days of receipt, and gives reasons for a rejection. It keeps the minutes, the complaint and a copy of the reply for 3 years (section 17/A of Act CLV of 1997 on consumer protection).

15.11. Conciliation board. If the complaint is not settled, the consumer may turn to the conciliation board competent for their place of residence or stay, or the board named in their request. The board competent for the Operator's registered office: Baranya Vármegyei Békéltető Testület (Baranya County Conciliation Board), 7625 Pécs, Majorossy Imre utca 36., Hungary; telephone: +36 72 507 154; e-mail: info@baranyabekeltetes.hu; website: www.baranyabekeltetes.hu. The Operator cooperates in the conciliation board procedure. The consumer may also turn with their complaint to the consumer protection authority (the county government office of their place of residence). [FOR THE LAWYER: the board's contact details are to be checked on the day of publication.]

15.12. Online dispute resolution. The European Union's online dispute resolution platform ceased to operate on 20 July 2025, so these terms do not refer to it.

15.13. Disputes. The jurisdiction clause under clause 10.4 does not apply towards the consumer; a consumer's dispute is governed by the general jurisdiction rules of the Hungarian Code of Civil Procedure.

15.14. The consumer's own guest data. If a consumer Subscriber records the data of other persons (guests) in the Service, they may qualify as controller in that respect; the Data Processing Agreement also applies to them. [FOR THE LAWYER: applicability of the exemption for purely personal or household processing (Article 2(2)(c) GDPR), and the Operator's processor role in that case.]

15.15. Plans and SMS for consumers. A consumer Subscriber can order a paid Plan only with monthly billing (a yearly subscription and the purchase of SMS credit are not available to consumers); the consumer is also entitled to the monthly SMS allowance included in the Pro plan. Indexation of the fee (clause 4.7) may be applied towards the consumer only with the information and the free right of termination under clause 15.8. [FOR THE LAWYER: the owner's decision (2026-10-27); README K31.]

Annex 1: fees and plan contents

All fees are net, invoiced with the value added tax in force at the time (clause 4.1).

The table is an extract of the price list (salonclick.app/arak) valid on the date of this working version; the fee in force is that of the current price list, and the fee of an ordered subscription is recorded in the confirmation (clauses 4.1 and 4.7). Extra SMS: HUF 30 + VAT each, in paid Plans only (clause 4.6). An extra Place can be ordered in the Pro plan only (clause 4.9). Trial: 60 days from the creation of the account, with the full feature set (clause 4.2). The feature list of each Plan is set out item by item in the price list shown before the order; a feature not in the price list is not part of the commitment (clause 3.1).

Annex 2: switching provider and data export

Editorial note: this annex is a draft aligned with Chapter VI of the Data Regulation (EU) 2023/2854. The exact classification of the service under that regulation and the export inventory are to be checked as conditions of release.

  1. The Subscriber may notify the Operator at webshop@brandlab.hu that it wishes to switch to another provider or to its own infrastructure, or that it requests deletion of the data without a handover. The notice period for switching is 30 calendar days, at most two months. The parties may agree on a shorter start. The Subscriber provides the necessary details of the target system or of the authorised recipient.
  1. The transitional period starts after the notice period and, as a rule, lasts at most 30 calendar days. The Operator cooperates, supports the exit plan and the authorised contributor, maintains the continuity of the service and the protection of the data, and informs of known technical limits. The Subscriber may extend the transitional period once, for a period suitable for it. In case of proven technical infeasibility the Operator communicates, within 14 working days of the switching request, detailed reasons and an alternative transitional period of at most seven months, while maintaining the continuity of the service.
  1. The export contains the exportable input and output data and metadata arising from the Subscriber's use, as well as the exportable digital assets: guest and staff records, service and place master data, calendar and booking events, passes, coupons, payment states, treatment documents and attachments, declarations and evidence of consent, settings and the exportable logs belonging to the customer. The final, complete inventory of data and formats, the interfaces, the limits and the handover procedure: [URL OF THE EXPORT INVENTORY AND OPEN INTERFACES]. This must be made available before the contract is concluded.
  1. Exceptions may be other customers' data, the protected source code and internal business secrets of the Operator or of a third party, and security data whose export would endanger the protection of the service. The specific categories of exception must be named item by item in the inventory; a general reference to business secrets must not prevent the switch. The necessary customer data is handed over in a machine-readable, widely used format. Loading into the target system and its differing features do not automatically become a development obligation of the Operator.
  1. On a successful switch the service contract ends, of which the Operator gives notice. If the Subscriber chose deletion only, the contract ends at the end of the notice period. After the transition is completed a 90-day data retrieval period is available; the mandatory retrieval right of at least 30 days must be ensured. An earlier deletion instruction under data protection law is settled separately. After the retrieval period, on a successful switch, the exportable customer data and digital assets are to be deleted, with the separate exception of mandatory legal retention.
  1. The separate fee for switching provider: HUF 0. During the transitional period the usual service fee is payable, and the closed period is settled. Switching or egress fees prohibited by law may not be charged; from 12 January 2027 no such fee may be applied for switching. The necessary switching assistance may not be relabelled as mandatory, separately charged consultancy.
  1. Information on the jurisdiction of the infrastructure and on the measures against international governmental access incompatible with EU law: [URL OF THE INFRASTRUCTURE AND INTERNATIONAL ACCESS NOTICE]. The parties cooperate in good faith during the switch; for personal data the safeguards of the Data Processing Agreement and the GDPR also apply.
